Agreement
These Terms of Service ("Terms") govern your access to and use of Meridian's websites, applications, and related services (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.
The Service
Meridian is a marketing operations workspace that may include performance reporting, recommendations, task workflows, chat experiences, and optional actions involving connected advertising or commerce platforms. Features may change over time. We do not guarantee uninterrupted or error-free operation.
Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly through Contact if you suspect unauthorized access.
Subscriptions and trials
Paid plans, trials, billing cycles, and cancellation terms are presented at signup or checkout when they apply. Unless stated otherwise at purchase, fees are non-refundable except where required by law.
Acceptable use
You agree not to:
- Violate applicable law or third-party rights.
- Probe, scan, or test the vulnerability of the Service or bypass security measures.
- Use the Service to distribute malware, spam, or deceptive content.
- Mine data, scrape, or use automated means to access the Service in a way that impairs stability.
- Reverse engineer the Service except where applicable law expressly permits.
Integrations and third parties
The Service may interoperate with third-party platforms (for example, ad networks or storefronts). Those services are governed by their own terms and privacy policies. Meridian is not responsible for third-party availability, changes to APIs, or actions taken on external platforms after you authorize them.
AI-assisted features
Some features may use machine learning or large language models to summarize data or suggest next steps. Outputs may be incomplete or inaccurate. You remain responsible for decisions made in your ad accounts, budgets, and compliance obligations. The Service does not provide legal, tax, or financial advice.
Intellectual property
Meridian and its licensors own the Service, including software, branding, and content we provide (excluding your data and third-party materials). We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription or trial in accordance with these Terms.
You retain rights in your content. You grant Meridian a license to host, process, and display your content solely to provide and improve the Service.
Disclaimer
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERIDIAN AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS. MERIDIAN'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID MERIDIAN FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100), IF YOU HAVE NOT PAID FEES.
Indemnity
You will defend and indemnify Meridian against claims, damages, and costs (including reasonable attorneys' fees) arising from your misuse of the Service, your content, or your violation of these Terms or applicable law, except to the extent caused by Meridian's willful misconduct.
Suspension and termination
We may suspend or terminate access to the Service for violation of these Terms, risk to security, or as required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnity) will survive.
Changes
We may modify the Service or these Terms. If we make material changes to the Terms, we will provide reasonable notice when practical (for example, by posting an update or sending email). Continued use after the effective date constitutes acceptance of the revised Terms.
Governing law
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law rules. Courts located in Delaware have exclusive jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property or security.
